K&L Gates, Trilegal and Baker McKenzie are advising on Olam Holdings’ sale of its wholly owned subsidiary, Mindsprint, to Wipro Networks for USD375 million.
The transaction involves multiple regulatory approvals and forms part of a wider strategic engagement between Olam Group and Wipro. Olam Holdings is the wholly owned subsidiary of Olam Group, acting as a key investment holding company of assets. Olam Group is a Singapore-headquartered global agri-business and food ingredients company.
K&L Gates advised Olam Holdings on the sale of Mindsprint to Wipro Networks. The K&L Gates Singapore M&A team along with Indian counsel Trilegal led the transaction team.
The Singapore deal team from K&L Gates was led by corporate partners David Kuo and Meraj Noor, with the support of counsel Ying Chern Tan and senior associate Esther Neo. Sydney partners Ayman Guirguis (antitrust and competition), Cameron Abbott (technology outsourcing), and Dan Atkin (corporate) led the Australian legal team.
Wipro Networks is a wholly owned subsidiary of New York- and Bangalore-listed parent company Wipro, which is an AI-powered technology services and consulting company. Baker McKenzie acted for Wipro, with M&A teams from Singapore and Amsterdam as well as antitrust teams from Saudi Arabia and Australia providing counsel.
The transaction agreement, signed in April 2026, is expected to be completed in June 2026.
India-based Mindsprint provides technology, cybersecurity and digital solutions. It serves clients across the food and agri-business, manufacturing, retail, consumer packaged goods, healthcare and life sciences sectors, including large enterprise customers in the United States, Asia-Pacific and the Middle East. As a wholly owned subsidiary, Mindsprint did not require separate representation.
