Latham, SAM and CAM work on USD187m Ventive Hospitality IPO

Latham & Watkins, Shardul Amarchand Mangaldas & Co and Cyril Amarchand Mangaldas (CAM) have counselled parties involved in Ventive Hospitality’s USD187.1 million initial public offering (IPO).

Latham & Watkins was the sole international counsel on Ventive Hospitality’s listing on the Bombay Stock Exchange (BSE) and National Stock Exchange of India (NSE).

Partner Rajiv Gupta led the Latham team, with the assistance of associates Kelly Teoh and Esha Goel (Singapore), associate Eunice Chan (Hong Kong), and foreign legal consultant Mara Recto (Singapore).

Partner Enrique Rene de Vera (Chicago) and partner Jiyeon Lee-Lim (New York), along with associate Jay Khurana (Chicago) advised on tax matters. Boston counsel Joel Cavanaugh worked on Investment Company Act matters.

CAM partner Janhavi Manohar led the team advising Ventive Hospitality on India law matters. Principal associate Krupa Brahmbhatt, as well as associates Vishesh Jain, Bhaskar Kumar, Hitesh Nagpal, Anna Kallivayalil, Tanmay Gupta and Monusha Nambiar assisted the team.

Partners Reeba Chacko, Kota Chandan, Trayosha Darapuneni, Kuriyan KZ, and Saurav Samaddar led the general corporate team. Partners Avaantika Kakkar and Kaustav Kundu led the competition team, Abhilash Pillai and Jinal Mehta led the real estate team and Okram Singha led the finance team.

Shardul Amarchand Mangaldas & Co advised the book running lead managers, JM Financial, Axis Capital, HSBC Securities and Capital Markets (India), ICICI Securities, IIFL Capital Services, Kotak Mahindra Capital Company, and SBI Capital Markets.

Partners Nikhil Naredi and Priya Awasthi led the SAM team, with senior associates Chinmay Sethia and M Koshy Mammen, and associates Vartika Bhatnagar, Manish Soni and Shariba Tasneem assisting.

Ventive Hospitality is a joint venture between Blackstone (a global real estate investor) and the Panchshil Group (Pune-based real estate developer), which owns assets, primarily focused on luxury offerings for business and leisure. Its portfolio includes 11 operational hotels and resorts across India and the Maldives, along with grade A office and retail space in Pune.
