Firms map out Sun Pharma’s USD11.75bn Organon acquisition

AZB & Partners, Cyril Amarchand Mangaldas, Linklaters, Sullivan and Cromwell, TT&A and White & Case are acting on Sun Pharmaceutical Industries, its subsidiaries and associated companies on the USD11.75 billion acquisition of Organon & Co.

AZB & Partners acted as Indian legal counsel to the acquirer, Sun Pharma. The team comprised senior partner Vaidhyanadhan Iyer, partner Jeet Chaudhuri and senior associate Bhanu Prakash J. Senior partner Nilang Desai and partner Avinash Subramanian advised on the financing side of the transaction.

Cyril Amarchand Mangaldas partners Ruetveij Pandya and Saloni Shroff led the team, with the assistance of principal associate Abhilasha Malpani, as well as associates Sajith Anjickal, Chelsea Sawlani, Neelanshi Gupta, Simran Srivastava and Shravan Subramanian.

“While the timelines were accelerated, we had to be extremely meticulous and pragmatic given the nuanced nature of the industry and the demands of the deal, which had to balance the commercial considerations with the legal, regulatory, and technical requirements,” said Pandya of CAM.

Sullivan & Cromwell served as international counsel to Organon, while White & Case acted as international counsel to the acquirer – a Sun Pharma subsidiary.

Singapore partners Rahul Chatterji, Philip Badge and Amit Singh led the Linklaters cross?border team, advising the lenders involved in the deal. Managing associates Grace Sim and Jia Yin Leong, based in Singapore, and New York banking partner Philip Woojung Lee provided support.

TT&A advised on the Indian law aspect, as counsel for the lenders. Partners Sonali Mahapatra and Nidhi Rani led the team and were assisted by senior associate Rohan Mitra.

Under the definitive agreement, Sun Pharma will acquire all of Organon’s outstanding shares at USD14 each in an all-cash transaction, with an enterprise value at USD11.75 billion. The Organon brand will survive the acquisition with subsidiary Sun Pharmaceuticals Holdings USA.
