Pair advise on USD182m Capital Infra InvIT IPO

Trilegal and Dentons Link Legal have counselled on Capital Infra InvIT’s IPO, raising INR15.8 billion (USD182 million) from its successful listing on the NSE and BSE.

The IPO involved issuing 159,393,750 shares at INR99 apiece, which included Capital Infra InvIT issuing 108,787,800 new shares, raising INR190.77 billion, and the sponsor, Gawar Construction, offering its existing stock of 50,605,950 shares for sale, raising INR5 billion.

Trilegal represented Capital Infra InvIT, formerly known as the National Infrastructure Trust, and Gawar Construction on the IPO.

Partner Abhinav Maker led the Trilegal team, with the support of associates Debarpita Pande, Ipsita Sahoo and Mrinal Kumar. Partner Rudresh Singh led the competition team, which comprised counsel Reshabh Juneja as well as associates Shaurya Kashyap and Rishitosh Kumar Akshaya.

Capital Infra InvIT, an infrastructure investment trust sponsored by Gawar Construction, was established to undertake infrastructure investments.

The trust has nine operational road assets on its books, with a pipeline of 17 additional road assets that can be acquired through a right of first offer mechanism from the sponsor.

Dentons Link Legal represented the book running lead managers on the IPO, including SBI Capital Markets and HDFC Bank. Partners Milind Jha and Aditya Bharadwaj led the team, with senior associates Kunal Mehta and Dewang Khandelwal, and associate Kumar Aditya assisting.
