Simpson Thacher, Nishimura steer USD2.5bn Seiyu deal

Simpson Thacher & Bartlett and Nishimura & Asahi have played key advisory roles in KKR and Walmart’s USD2.5 billion divestment of Japanese supermarket chain Seiyu to Trial Holdings.

Simpson Thacher advised KKR on this deal, with a team led by partners Jonathan Stradling, Noritaka Kumamoto and Makiko Harunari, and registered foreign lawyer Atsushi Usui.

Nishimura & Asahi also played a role in advising KKR, led by partners Asa Shinkawa, Takahiko Date and Daichi Iinaga.

This transaction follows KKR’s restructuring of Seiyu since acquiring a majority stake in 2021, later increasing its shareholding to 85% after purchasing an additional 20% from Rakuten in 2023. As part of the deal, Walmart will also offload its remaining 15% stake.

The deal is expected to close in the second quarter of 2025, pending regulatory approvals.
