Goswami & Nigam and Hadef & Partners advised on Emirates Transport’s AED33 million (USD8.1 million) acquisition of a 75% stake in Guardian One Transport.
The transaction, which was recently finalised, was structured through Guardian One Holdings.
Goswami & Nigam counselled Guardian One throughout the transaction life cycle, with partner Himanshu Goswami leading the team and principal associate Arushi Jain providing support.
The team reviewed and negotiated key transaction documents, namely the share purchase agreement and shareholders agreement.
The transaction involved a complex pre-sale reorganisation, carefully structured to safeguard the post-acquisition rights of the company’s founders while maximising enterprise value.
