PDLegal’s Bangkok office has advised on an electric vehicle strategic joint venture between Thailand-based Primus and China-based Wuling for an undisclosed amount.
EV Primus is a distributor and assembler of electric vehicles, while Wuling EV manufactures a variety of vehicles, including EVs. The joint venture agreement was initially executed on 14 January 2026, but was not fully completed at the time as an amendment was agreed on and signed by both parties in April.
PDLegal Thailand managing partner Papon Charoenpao led the team, with the assistance of senior associate Wisara Harnchonboth, as well as associates Lester Kuo and Sudarat Keawmuang.
The firm advised EV Primus on various regulatory and compliance matters, including environmental regulations, foreign direct investment considerations under Thailand’s Foreign Business Act, Industrial Estate Authority of Thailand requirements, Thailand’s EV 3.5 policy (2024–2027) and other electric vehicle regulations.
It also provided guidance on Thailand Board of Investment incentives, other forms of government support and relevant tax considerations.
“The deal was essentially an add-on to, or an evolution of, their existing relationship. As a result, both parties faced uncertainties regarding their new roles and expectations in relation to the new business and supply chain structure, which were heavily negotiated throughout the transaction,” Charoenpao told Asia Business Law Journal.
He added that navigating certain intricacies related to the transaction was one of the key aspects of the deal.
“As this transaction was cross-border and cross-cultural in nature, we worked closely with representatives from our China Desk to ensure that the transaction proceeded smoothly and efficiently,” he said.
Under the joint venture, Primus and Wuling have established a fully operational EV assembly and distribution platform in Thailand, with an annual production capacity of up to 10,000 vehicles and plans to expand into a larger manufacturing base.
EV Primus is the sole distributor of Wuling electric vehicles in Thailand.
