Four law firms assist on 尝’翱肠肠颈迟补苍别’s HKEX delisting

Skadden, Clifford Chance, Norton Rose Fulbright and Kirkland & Ellis have advised on 尝’翱肠肠颈迟补苍别 chairman Reinold Geiger’s privatisation of the skincare brand in a move that will end its 14-year run on the HKEX.

The deal values 尝’翱肠肠颈迟补苍别 at EUR6 billion (USD6.68 billion) on an equity basis and trading was suspended on 13 September.

Geiger offered shareholders a cash payout of HKD34 apiece or a scrip alternative of 10 shares in the new private entity for every share held. The majority, representing 87.13% of shareholders, chose the cash option equalling HKD12.09 billion.

Skadden acted as counsel to Geiger and the parent company 尝’翱肠肠颈迟补苍别 Group.

Partners Charles Bremner and Rachel Chan, and senior adviser Camille Jojo, all based in Hong Kong, led the Norton Rose Fulbright team advising a management shareholder of the group. Paris-based partner Jean-Claude Rivalland and Luxembourg managing partner Torsten Sauer provided support.

Clifford Chance’s Hong Kong partner Alex Bidlake advised the listed entity 尝’翱肠肠颈迟补苍别 International, supported by Luxembourg senior partner Christian Kremer and partner Stefanie Ferring.

Leading partner Joey Chau at Kirkland advised JP Morgan, the exclusive financial adviser of 尝’翱肠肠颈迟补苍别, with support from partner Brian Ho. Other team members included partners Jacqueline Zheng, Sean Zhang and Jennifer Feng.
