Fangda represented Jin Jiang International Hotels Co., Ltd. (“Jin Jiang”) in acquiring minority stakes through its wholly-owned subsidiary Plateno Investment Limited (“Plateno”). The acquisition involved Plateno’s subsidiaries Lavande Holdings Limited (“Lavande”), Xana Hotelle Holdings Limited (“Xana”), and Coffetel Holdings Limited (“Coffetel”) for approximately RMB1.715 billion. Specifically, Plateno acquired 38% of shares in Lavande from minority shareholders for RMB1,100,737,528.24, 32.3% in Xana for RMB290,363,999.99, and 38% in Coffetel for RMB324,055,348.93. This deal was signed on December 20, 2024, and was successfully closed on December 24, 2024. Following the closing, Plateno now holds 95% of shares in each of Lavande, Xana, and Coffetel.
Fangda is the deal counsel for Jin Jiang, and responsible for due diligence, drafting and negotiation of transaction documents, and the cancellation of incentive equity. The project was led by partners Leo Lou and Xiaotong Jia, with key team members including Yuan Cao, Mandy Wang, Scarlett Xiao, Mia Wang, Eric Wang, Koral Zhu, Chunyuan Zheng, Josie Zheng, and Xinyue Wang.
Lavande, Xana, and Coffetel each indirectly hold 100% equity in their respective operating entities: Lavande Comfort Hotel Management (Shenzhen) Co., Ltd., Xana Hotel Management (Guangzhou) Co., Ltd., and Coffetel Hotel Management (Shenzhen) Co., Ltd., operating the “Lavande Hotels”, “Xana Hotelle”, and “James Joyce Coffetels” brands in China.
