Touchstone Partners, Saikrishna & Associates and Khaitan & Co have advised on the strategic partnership and joint venture between JSW Sarbloh Motors and TOMCAR USA to build the American company’s TX range of all-terrain vehicles (ATVs) in India for an undisclosed amount.
Touchstone Partners acted for JSW Sarbloh, with the team comprising partner Anirudh Agarwala, senior associate Kunal Gopal, and associates Rajvee Bavishi and Viraj Vaidya. Partner Anuj Bhatia and senior associate Palak Chadha provided support on intellectual property aspects. Saikrishna & Associates advised JSW Sarbloh on IP due diligence.
Khaitan & Co represented TOMCAR USA, with the team led by partners Bharat Anand, Tanvi Kumar and Nimisha Trehan and associate Nipun Laroia.
Partner Nirupam Lodha, principal associate Shivangi Narang and senior associate Gautam Wadhwa advised on intellectual property aspects.
The joint venture deal involved drafting, negotiating and finalising the transaction documents, and was signed on 13 August 2025.
JSW Sarbloh Motors is a subsidiary of JSW Defence, a JSW Group company. TOMCAR USA specialises in the manufacture of ATVs and off-road utility vehicles.
The company was founded in the late 1960s to design lightweight, durable vehicles for military use and later diversified into commercial markets.
