In the debt capital markets, Zhu has acted as issuer’s, underwriter’s or guarantor’s counsel for a number of international issuers in their issuances of “panda bonds” in the PRC, including “first-deal panda bonds” issued by South Korea, Poland, Egypt, the Philippines, Portugal, Hungary, Sharjah, British Columbia, New Development Bank, the Asian Infrastructure Investment Bank, International Bank for Reconstruction and Development, Bank of China (Hong Kong), China Construction Bank (Asia), HSBC, CIMB Bank Berhad, Malayan Banking Berhad, United Overseas Bank, Mizuho Bank, Chong Hing Bank, Luso Bank, Bayer, BASF, Daimler/Mercedes-Benz, BMW, Volkswagen, Veolia and Trafigura. Zhu has also assisted a number of PRC companies in the issuance of bonds offshore, including in Hong Kong, Taiwan, Singapore, London and Frankfurt. These issuers include the Agricultural Bank of China (ABC), China Construction Bank (CCB), ICBC, Everbright Bank, Industrial Bank, Shanghai Pudong Development Bank, China Eastern Airlines, PowerChina Limited, China Merchants and Bright Food Group.
In banking and finance, Zhu has represented most of the major PRC and international banks, including BOC, CCB, ICBC, ABC, China Development Bank, the Export-Import Bank of China, JPMorgan, HSBC, Standard Chartered Bank, BNP Paribas, the International Finance Corporation and the Asian Development Bank. She provides legal services in corporate finance (syndicated and bilateral loans), negotiable instruments, letters of credit, trade finance (sale of receivables and factoring), supply chain finance, and vessel and aircraft finance. She has acted on a number of financing projects that have been recognised by leading industry journals as “Deals of the Year”, including the financing for ChemChina’s acquisition of Syngenta and the privatisation financing of Feihe Dairy. In respect of the compliance aspects of banking and finance, including cross-border payments, carbon trading, supply chain finance, futures and derivatives, Zhu also advises on matters relating to regulatory compliance.
