Introduction

Hou Min, a partner at Jingtian & Gongcheng, joined the firm in 2011 and has more than 15 years¡¯ experience in capital markets legal services. She focuses on M&A, domestic and overseas listings, private equity financing, and equity incentive schemes. She has a strong industry focus, advising leading corporate groups such as Chery Automobile, Anhui Conch Group, Sinomach, BOE Technology Group, TCL Technology, and Shouyao Holdings, and has deep expertise in the semiconductor, new energy, automotive and advanced manufacturing, and biopharmaceutical sectors.

Hou is particularly recognised for her work on complex, cross-border and industry-focused M&A. She is skilled at structuring transactions from a strategic commercial perspective, aligning interests among parties, and driving deals to completion, earning her a reputation as a trusted capital markets adviser.

In M&A, she has advised on several landmark, multi-billion-renminbi transactions, including Sinomach¡¯s acquisition of Chuanyi, TCL¡¯s acquisition of Zhonghuan Group, BOE¡¯s acquisition of HC SemiTek, the milestone mixed-ownership reform of Chery Automobile, and the restructuring and listing of Sumec.

In capital markets, she has acted as lead or signing counsel on the IPOs for Chery Automobile, Moore Threads Technology, TYK Medicines, Zhejiang Lanyu Digital Technology , Hunan Resun Auway, Rayhoo Motor Dies, Efort Intelligent Equipment, Bethel Automotive Safety Systems, and Zhejiang Goldensea Hi-Tech.
