Introduction

Chen Wangshu¡¯s practice primarily covers the handling of major civil and commercial disputes, with particular expertise in securities compliance and litigation, corporate litigation and corporate control disputes.

In securities compliance, Chen provides full-process legal services including compliance crisis management, administrative investigation response, defence and hearings for administrative penalties, and administrative reconsideration. He has represented clients in more than a dozen cases involving insider trading, market manipulation and information disclosure violations, including China¡¯s first case of a public fund alleged to illegally conduct private fund business, and a market manipulation case with the country¡¯s highest confiscation and fine amount. In securities litigation, he has represented a number of listed companies, securities firms and other entities in misrepresentation damage claim lawsuits filed by investors, including the nation¡¯s first case against listed company directors, supervisors and senior executives for breach of public commitments, and the nation¡¯s first private bond misrepresentation liability dispute. In corporate litigation and control disputes, he has handled numerous major complex corporate cases involving capital contribution, corporate resolutions and equity transfer disputes, with a specialty in corporate control battles. He represented the nation¡¯s first contract dispute arising from a securities firm¡¯s bailout plan, and assisted multiple domestic and overseas listed companies, including those listed in the National Equities Exchange and Quotations in resolving control disputes.

Chen integrates academic research with legal practice. He serves asa director at the Commercial Law Research Institute of the China Law Society, has participated in major legislative projects commissioned by the State Administration for Market Regulation and the Major Project of the National Social Science Fund of China on corporate social responsibility legislation, and co-authored legal treatises including Practical Litigation Guide for the New Company Law and China¡¯s Commercial Legal System. He integrates academic insights into case handling, advancing innovative legal arguments in landmark cases to secure optimal outcomes for clients while driving the development of judicial practice.

He holds a Bachelor of Laws from Zhejiang University, a Master of Laws in Civil and Commercial Law from China University of Political Science and Law, and an MBA from Cheung Kong Graduate School of Business.
