Trio acts on Carlyle’s USD400m buy of automotive parts pair

Trilegal, Cyril Amarchand Mangaldas (CAM) and Touchstone Partners have advised on the Carlyle Group’s acquisition of a majority stake in Roop Automotives and Highway Industries for USD400 million, establishing an auto parts platform with a 65-70% shareholding.

Trilegal advised Carlyle on the transaction, with partner Sneha Vardhan leading the team, with the assistance of counsel Shubhaang Sinha and Vyshnav Karthik. Senior associates Archit Gupta and Vishesh Mehrotra, as well as associates Drishti Rajain, Sakshi Rajawat, Jatin Soni, Tanay Saluja and Shreya Khandelwal also assisted.

Partners Atul Gupta and Kanishka Maggon (labour and employment), Rahul Arora (real estate), Kirti Balasubramanian (IP), Jyotsana Jayaram (TMT), Rajat Jariwal (environment), Anusha Ramesh (litigation), and Gauri Chhabra (competition) also provided support.

CAM advised Roop Automotives and its promoters, with partners Anchal Dhir, Aditi Manchanda and Jay Parikh leading the team. Senior associate Varun Kannan and associate Swini Khara assisted, while the competition, technology and IP teams also provided support.

Touchstone Partners represented Highway Industries and its promoters, with managing partner Karam Daulet-Singh and partner Gaurav Desai leading the team. Associates Aastha Saily, Anjani Tewary and Juhi Hirani provided additional support.

Roop Automotives and Highway Industries are key suppliers of precision components to global and domestic OEMs, tier 1 and tier 2 suppliers, as well as manufacturers across various automotive and industrial sectors.
