Cyril Amarchand Mangaldas (CAM), Shardul Amarchand Mangaldas & Co (SAM), Trilegal and Sidley Austin guided parties involved in global SaaS company Amagi Media Labs’ IPO on the BSE and NSE on 21 January, raising USD196.3 million.
CAM advised Amagi Media Labs on its IPO, comprising a fresh issue of equity shares valued at around USD89.7 million, together with sale of USD106.9 million worth of shares by certain existing shareholders.
CAM’s head of capital markets Manan Lahoty led the team, along with partners Manshoor Nazki and Vartika Jain. Senior associate Ayushi Tiwari, and associates Anna Kallivayalil, Megha Rajesh, Parameswaran Chidamparam, and Khadri Mohammad supported the team.
Partner Trayosha Darupuneni and associate Yash Chadha advised Amagi Media Labs on certain pre-IPO transfers. Partner Bharath Reddy advised on its employee stock option scheme and related remuneration matters.
Trilegal acted as Indian legal counsel for the IPO’s book-running lead managers: Kotak Mahindra Capital Company, Citigroup Global Markets India, Goldman Sachs (India) Securities, IIFL Capital Services and Avendus Capital. Sidley Austin acted on international law matters.
SAM counselled the investor selling shareholders on India law matters. Partners Prashant Gupta and Manjari Tyagi led the team, with the assistance of senior associate Jheel Bhargava and associate Bhumika Panigrahi.
The selling shareholders included PI Opportunities Fund I, PI Opportunities Fund II, Norwest Venture Partners X – Mauritius, Accel India VI (Mauritius), Accel Growth VI Holdings (Mauritius), Trudy Holdings, AVP I Fund, Prem Gupta, Rahul Garg, Rajesh Ramaiah, Rajat Garg, and Kollengode Ramanathan Lakshminarayana.
